RUN – Change of Existing Company Name

An existing company that wants to change its name reserves the new name through the RUN (Reserve Unique Name) service on the MCA portal. We handle the name reservation and the full name-change process through to the fresh certificate of incorporation.

Reserve a New Name

What is RUN for a Name Change?

RUN (Reserve Unique Name) is the MCA web service used to reserve a company name. An existing company that wants to change its name uses RUN to reserve the proposed new name before completing the change under Section 13 of the Companies Act, 2013.

This is different from SPICe+ Part A, which reserves a name for a new company at incorporation. A name change is part of our change management services.

How the Name Change Works

After the new name is approved through RUN, the company passes a board resolution and a special resolution, files Form MGT-14 for the resolution, and files Form INC-24 as the application for approval of the change of name. The Registrar then issues a fresh certificate of incorporation with the new name.

Once the certificate is issued, the company updates its PAN, bank accounts, and statutory records to reflect the new name.

Who Uses RUN for a Name Change?

  • Companies rebranding to a new identity.
  • Companies aligning their name with their current business.

Frequently Asked Questions

What is the RUN service?

RUN (Reserve Unique Name) is the MCA web service used to reserve a company name. An existing company uses it to reserve a new name when changing its name.

How does an existing company change its name?

It reserves the new name through RUN, passes a special resolution, files Form MGT-14 and Form INC-24, and receives a fresh certificate of incorporation.

How long is a reserved name valid?

A name reserved through RUN is valid for a limited period within which the company must complete the change, so we plan the filings to stay within it.

Does a name change affect the company's legal identity?

No. A name change does not create a new company or affect its rights and liabilities. Only the name changes, and the company's CIN stays the same.

Can any name be reserved?

No. The name must meet the MCA naming guidelines and must not be identical or too similar to an existing company or a registered trademark.

What needs updating after the name change?

After the fresh certificate is issued, the company updates its PAN, bank accounts, statutory registers, and other records with the new name.
