What is Form INC-27?

Form INC-27 is the form for converting a company between private and public status, filed with the Registrar of Companies. The conversion involves altering the Articles of Association, passing a special resolution, and, for the conversion of a public company into a private company, obtaining approval from the Regional Director.

Conversion is part of our change management services, and the Regional Director step uses our approval services.

Types of Conversion

  • Private company to public company.
  • Public company to private company.
  • Alteration of the Articles to match the new status.
  • Conversions that require Regional Director approval.
  • Updating the name suffix to Private Limited or Limited.

How the Conversion Works

The company passes a board resolution and a special resolution, alters its Articles of Association, files Form MGT-14 for the resolution, obtains Regional Director approval where required, and files Form INC-27. The Registrar then issues an updated certificate of incorporation reflecting the new status.

Frequently Asked Questions

What is Form INC-27 used for?

INC-27 is filed to convert a private company into a public company or a public company into a private company.

What is the process to convert a private company into a public company?

The company passes a special resolution, alters its Articles of Association, files the resolution in Form MGT-14, and files INC-27 to record the conversion.

Does converting a public company into a private company need approval?

Yes. Conversion of a public company into a private company requires approval from the Regional Director before the change is recorded.

Does conversion change the company's name?

The status suffix changes, so Private Limited or Limited is updated to match the new status, and the updated certificate of incorporation reflects this.

How is a One Person Company converted?

An OPC is converted using Form INC-6 rather than INC-27, and we handle OPC conversions through the correct route.

Does conversion affect the company's existing contracts?

No. Conversion changes the company's status, not its legal identity, so its existing rights, contracts, and liabilities continue.
