Appointment of Partner Services
Adding a partner or designated partner to an LLP means updating the partnership agreement and notifying the Registrar within the required timeline.
Appointing a new partner or designated partner in an LLP requires the incoming partner's consent, a resolution among existing partners, and often an amendment to the LLP agreement to reflect the new profit-sharing and capital contribution terms. The change is reported to the Registrar in Form 4 within 30 days, and any resulting change to the LLP agreement is filed separately in Form 3.
What's included
From partner consent to the updated LLP agreement.
- DPIN/DIN application for a first-time designated partner
- Consent and resolution for the incoming partner
- Drafting the supplementary LLP agreement
- Filing Form 4 for the change in partners
- Filing Form 3 for the amended LLP agreement
- Updating capital contribution and profit-sharing records
Partner vs. designated partner
Every LLP needs at least two designated partners.
Partner Appointment
A partner contributes capital and shares profits but may not have management responsibilities.
Designated Partner
Responsible for regulatory compliance; requires a DPIN and is accountable for LLP filings.
LLP Agreement Update
The supplementary agreement records the new partner's rights, contribution and profit share.
Our process
From initial consultation to completion.
Confirm DPIN Status
Apply for a DPIN if the incoming partner doesn't have one already.
Draft the Supplementary Agreement
Record the new partner's contribution and profit-sharing terms.
Obtain Consent & Resolution
Get formal consent from the incoming partner and approval from existing partners.
File Form 4 & Form 3
Submit both filings to the Registrar within the applicable timelines.
Why this needs careful documentation
What sets our approach apart.
Two filings, not one
Form 4 (change in partners) and Form 3 (agreement amendment) are both required and often missed as a pair.
Minimum designated partner requirement
An LLP must always have at least two designated partners, one of whom must be resident in India.
Profit-sharing clarity
An unclear or unfiled agreement amendment can create disputes over the new partner's actual entitlement.
