Talk to an ExpertWhat This Covers
Incorporation and change services cover two stages in a company's life: setting it up, and updating it as things change. Each step has its own form and procedure under the Companies Act, 2013, from name reservation and incorporation to changes in name, registered office, structure, and key managerial appointments.
We manage these filings end to end and keep the records consistent, working alongside our wider compliance services and change management services.
Incorporation & Name Reservation
Every new company starts with a name. SPICe+ Part A is used to reserve the name of a new company on the MCA portal as the first step in incorporation.
An existing company that wants to change its name uses the RUN service to reserve the new name before completing the change.
Post-Incorporation Changes
After incorporation, companies report changes in the relevant forms. A change of registered office is filed in Form INC-22, and a conversion between private and public status is filed in Form INC-27.
A One Person Company records a change of member or nominee in Form INC-4, and the appointment of a Managing Director, Whole-Time Director, or Manager is reported in Form MR-1.

Frequently Asked Questions
What is the difference between SPICe+ and RUN?
SPICe+ Part A reserves a name for a new company as part of incorporation, while RUN is used by an existing company to reserve a new name when it changes its name.
How long does it take to incorporate a company?
Timelines depend on name approval and document readiness. With complete documents, incorporation through SPICe+ is usually completed within a few working days.
Can a company change its name after incorporation?
Yes. An existing company reserves the new name through RUN, passes a special resolution, and files the related forms to obtain a fresh certificate of incorporation.
What changes need to be reported to the ROC after incorporation?
Changes such as a new registered office, a change of name, conversion of the company, OPC member or nominee changes, and the appointment of an MD, WTD, or Manager are reported in the relevant forms.
Which form is used to change the registered office?
A change of registered office is filed in Form INC-22, with additional approval where the office moves between states.
Do you handle both incorporation and later changes?
Yes. We handle incorporation, name reservation, and the full range of post-incorporation changes under the Companies Act, 2013.
