Normal RUN โ Change Company Name
Changing a company's name is a multi-step ROC process, not a single filing. We manage every step from name reservation through to the fresh Certificate of Incorporation.
A full company name change runs through five steps: a board resolution approving the proposal, name reservation via RUN, a special resolution passed by members at a general meeting, filing of Form MGT-14 for that resolution, and finally Form INC-24 requesting the ROC to approve the name change. Once approved, the ROC issues a fresh Certificate of Incorporation reflecting the new name, after which the MOA and AOA, PAN, GST, bank records and other registrations need to be updated to match.
What this service covers
The full sequence, not just one filing in isolation.
- Board resolution drafting for the proposed name change
- RUN application for name reservation
- Notice and conduct of the general meeting for the special resolution
- Form MGT-14 filing for the special resolution
- Form INC-24 application to the ROC
- Post-approval updates to MOA, AOA and linked registrations
Key components
The three approval layers involved in a name change.
Board Approval
The board first resolves to propose the name change and authorises the RUN application.
Member Approval
A special resolution passed by shareholders is mandatory before the ROC will consider the change.
ROC Approval
Form INC-24 is reviewed by the Registrar before a fresh Certificate of Incorporation is issued.
Our process
From initial consultation to completion.
Board Resolution & RUN
The board approves the proposal and the new name is reserved through RUN.
General Meeting & Special Resolution
Members approve the change by special resolution at an EGM or AGM.
File MGT-14
The special resolution is filed with the ROC within the statutory window.
File INC-24 & Update Records
The ROC approves the change, issues a new COI, and the MOA/AOA and other registrations are updated.
Why sequencing matters
What sets our approach apart.
Steps have hard deadlines
MGT-14 must be filed within 30 days of the special resolution, and INC-24 needs the RUN reservation to still be valid โ missed windows mean starting over.
The MOA and AOA need updating too
The name change isn't complete on paper until the company's foundational documents reflect the new name, which we handle alongside the ROC filing.
Downstream records lag behind if unmanaged
PAN, GST, bank accounts, and statutory licences all carry the old name until updated separately โ we track this so nothing is missed.
