Incorporation & Change Overview

Every company goes through two phases with the Registrar of Companies: getting incorporated, and then keeping every subsequent change — name, address, directors, capital, structure — properly filed. We handle both.

Quick answer

Incorporation is done through the SPICe+ web form, which bundles name reservation, incorporation, PAN, TAN, EPFO, ESIC and a bank account request into one filing. After incorporation, any change to the company's name, registered office, capital, directors or legal structure needs its own ROC form — RUN, INC-22, SH-7, DIR-12 or INC-27 among others — each with its own resolution and timeline requirements. We map the right form to the right change and file it correctly the first time.

What people ask before engaging us.

No. Conversions such as private to public, or OPC to private, are done through Form INC-27 on the existing company — a fresh incorporation is not required.
There's no minimum waiting period, but a name change still needs a special resolution, name approval through RUN, and filing of INC-24, the same as at any other stage.
Most ROC forms only cover one type of change at a time, so a name change and a capital change, for example, are filed as separate resolutions and separate forms, though they can be sequenced close together.
An unfiled change — such as an address that's moved in practice but not on record — creates a mismatch that can cause notices, penalties, or complications during due diligence and future filings.
