Notice for Partner Change

Every admission, resignation or change in a partner's details must be reported to the Registrar of Companies within 30 days, through Form 3 and Form 4.

Quick answer

A change in an LLP's partners — a new partner joining, an existing partner resigning, or a change in a partner's designation or details — is reported using Form 4 (notice of change) and, where the LLP Agreement is amended as a result, Form 3 (amendment). Both must be filed with the Registrar of Companies within 30 days of the change taking effect.

File the amendment to the LLP Agreement alongside or following Form 4.

Why choose us

Why partner changes get filed late

What sets our approach apart.

Treated as an internal matter

Partners sometimes assume a change is complete once agreed internally, without realising it needs a ROC filing.

DPIN delays for new partners

A new partner without an existing DIN/DPIN needs one allotted first, which can push the filing past 30 days.

Resignation paperwork is incomplete

An outgoing partner's resignation isn't effective for ROC purposes without the proper notice and filing.
