Change Registered Office
The process for moving a registered office depends entirely on how far the move is — within the same city, across ROC jurisdictions, or across a state line.
A registered office change within the same city or town, under the same Registrar, only needs a board resolution and Form INC-22. A move to a different ROC jurisdiction within the same state adds a special resolution and confirmation from the Regional Director. A move to a different state is the most involved — requiring a special resolution, Regional Director approval via Form INC-23, and filing of both INC-28 and INC-22 once approved.

Three levels of complexity
The approval required scales with the distance of the move.
Within the Same City
Board resolution and Form INC-22 — the simplest and fastest scenario.
Same State, Different ROC
Special resolution plus confirmation from the Regional Director before filing INC-22.
Different State
Special resolution, Regional Director approval via INC-23, and amendment of the MOA's state clause.
Our process
From initial consultation to completion.
Determine the Category
Confirm whether the move is within-city, inter-ROC, or inter-state.
Pass the Required Resolution
Board resolution alone, or special resolution depending on the category.
Obtain Approvals if Needed
File INC-23 for Regional Director approval on inter-state or inter-ROC moves.
File INC-22 & Update Records
Notify the Registrar of the new address and update linked registrations.
Why the jurisdiction matters
What sets our approach apart.
Regional Director approval isn't automatic
Inter-state moves require justifying the change and addressing any objections from creditors or members.
MOA amendment required for state changes
The registered office state is stated in the MOA, so an inter-state move needs a corresponding MOA alteration.
Downstream registrations follow
GST, bank KYC, and various licences tied to the old address need separate updates after the ROC change is approved.
