What is Change In The Company Name​?

A company, once incorporated, may decide to change its name due to rebranding, diversification of business, or alignment with new goals. Under the Companies Act, 2013, a company can change its name by following prescribed procedures and approvals from the ROC, MCA, and sometimes the Central Government.

The company name is its legal identity, and any change must be duly updated across all registrations and statutory records.

Procedure for Change in Company Name

1. Board Meeting

  • Pass a resolution proposing the name change.

  • Authorize a Director/CS to check name availability with MCA.

2. Checking Name Availability

  • Apply for name reservation in Form RUN (Reserve Unique Name) through MCA portal.

  • Ensure compliance with Company Naming Guidelines under Rule 8 of the Companies (Incorporation) Rules, 2014.

3. Special Resolution by Shareholders

  • Conduct an Extraordinary General Meeting (EGM).

  • Pass a Special Resolution for approval of the new name.

4. Approval from ROC / Central Government

  • File Form MGT-7 (resolution filing).

  • Submit application in Form INC-24 with MCA for final approval.

5. Alteration of MOA & AOA

  • Amendments to the Memorandum of Association (MOA) and Articles of Association (AOA) are mandatory to reflect the new name.

6. Issuance of Fresh Certificate of Incorporation

  • ROC issues a new Certificate of Incorporation with the updated name.

  • Special Resolution passed in EGM

  • Altered MOA & AOA

  • Name Approval Letter from MCA

  • List of Directors & Shareholders

  • Digital Signatures (DSC) of authorized signatories

Important Points to Note

  1. Name change is not allowed if:

    • Company has not filed annual returns or financial statements.

    • Company has defaulted in repayment of deposits or debentures.

  2. The new name must not be identical or resemble existing company/LLP names or trademarks.

  3. All statutory registrations (GST, PAN, TAN, Shops & Establishment, PF, ESIC, Bank Accounts) must be updated after name change.
